I have misplaced my THUS Share Certificate - what should I do?

If you misplace your share certificate or it has been stolen, you should inform Equiniti immediately on 0871 384 2124*. You will need to give Equiniti details of any certificates you still hold, so they can identify which share certificate is missing.

Equiniti will then send you a letter of indemnity. By signing and returning this letter to them, you are confirming that if the lost share certificate subsequently comes to light, you will return it to Equiniti to be cancelled. You are also required to guarantee that THUS plc will not be liable for any loss as a result of issuing the duplicate certificate.

The indemnity must be guaranteed by a bank or an insurance company. This can be arranged through your own bank or insurance company who are members of The Association of British Insurers or by contacting Equiniti.

In most cases, you will need to pay an administrative fee to Equiniti. However, an express fee will be charged if a broker wishes Equiniti to fax the letter of indemnity directly to them. Please contact Equiniti for information on charges.

You should write to Equiniti providing them with details of your new name and your previous name.

You should also attach your marriage certificate or change of name deed together with your THUS share certificate for re-issue.

How do I transfer my THUS shares?

If you want to give or sell your THUS shares to someone that you know, you can do so by downloading and completing (guidance notes) the stock transfer form and sending it with your share certificate(s) to:

Unless you instruct Equiniti otherwise by filling in the boxes on the form, they will automatically send the new certificate to the transferee at the address stated and any balance certificate back to the transferor.

Stamp duty maybe payable depending on the type of transfer. As a general rule, if no money is changing hands, then the transfer is not liable for stamp duty. In this instance, the exempt stamp duty category must be completed.

If you hold your shares in a nominee account, the nominee can provide you with copies of our reports and accounts, but this is often an additional service and you should check with your stockbroker

Where can I find information on the 10 for 1 share consolidation?

Following shareholder approval, THUS Group plc has undertaken a 10 for 1 share consolidation. The consolidation took effect after market close on Friday 10 March 2006, with trading in the consolidated shares commencing at 8am on Monday 13 March 2006.

The Directors believe the consolidation will reduce the volatility of the shares and help the Company attract new investors and use its shares to make acquisitions.

New share certificates were despatched to all individuals holding their shares in certificated form.

As all shareholdings in the Company have been consolidated, shareholders' percentage holdings in the issued share capital of the Company will (save in respect of fractional entitlements) remain unchanged. Similarly, although the nominal value of each ordinary share will change from 2.5 pence to 25 pence, the ordinary shares will have the same rights, including voting and dividend rights as before the share consolidation.

For purely illustrative purposes, examples of the effects of the share consolidation in respect of certain holdings of ordinary shares are set out below:

Any fractional amounts upon consolidation were amalgamated and disposed of at the discretion of the Directors. In accordance with the Company's Articles, any proceeds from disposal of fractional amounts will be donated to charity.

A THUS shareholder has died - who should I inform
and what procedure do I follow?


If you are administering an estate, you may need to transfer the shares into the names of beneficiaries or sell the holding. In any case, the first step is to write to Equiniti to let them know the details of the deceased shareholder and what you intend to do. They will then send you the forms you need to complete and will retain any future dividend payments in the meantime.

There are two ways of re-registering the holding, depending on the size of the estate. If the estate is large, you may need to obtain a grant of representation. This is a document that appoints the representatives who will administer the estate.

Equiniti will then ask you to return the completed forms with an ‘office copy’ of the grant. This is a copy of the front page of the document which has been sealed by the Probate Registry.

If you are going to transfer the shares, Equiniti will ask you to complete a transfer form and return it to them with the share certificates for the holding. They will then issue a certificate in the new name.

If the estate is small, ie if the total value of the estate is below the inheritance tax threshold and the value of the shareholding does not exceed £10,000, there are special arrangements to deal with the sale or transfer of the shares. Please write to Equiniti, enclosing a copy of the death certificate and confirming that the value of the estate is below the threshold, and they will send you the relevant forms.

There will be a charge for using this special service, and the form they send you must also be guaranteed by an insurance company. Equiniti will arrange this for you on your behalf for a countersignature fee.
